GENERAL CONDITIONS

1. DEFINITIONS

1.9 Username

2. DESCRIPTION OF THE SERVICE

3. DURATION OF THE CONTRACT

3.1 Term.

  All services offered by AMB Forward LLC (UVox) are prepaid unless otherwise agreed by the parties.

3.2 Extinction by the CLIENT.

3.3 Extinction by AMB Forward LLC (UVox).

3.4 Consequences of extinction.

3.5 Continuity of validity.

4. LIMITATION OF LIABILITY

4.2 Absence of indirect or incidental damages.

5. COLLABORATION OF THE CLIENT

5.1 Use of the VoIP service or services offered

5.6 Confidentiality and Data Protection
  AMB Forward LLC (UVox) and the CLIENT agree not to publicize or use for their own benefit those information that may be considered confidential.

5.7 Compensation

6. USERNAME, PASSWORD AND ACCOUNT

6.1 Username, Password and Account.

6.3 Communications and contact.

6.4 Notifications and compensation

7. PRICES, FORMS OF PAYMENT, INVOICES AND REIMBURSEMENT POLICY.

7.3 Methods of payment

7.5 Service renewals.
  The services that represent a monthly fee per month, must be renewed by the CLIENT for its maintenance and proper functioning.

  If the client decides to reactivate the expired service by renewing his monthly payment, the expiration date will be taken into account and not the renewal date.
  
  7.6 Non-payment

  Any amount not received by AMB Forward LLC (UVox) on the Expiration Date will be considered due. Any amount due will cause the deactivation
  immediate of any service hired by the CLIENT.
  The CLIENT will also pay to AMB Forward LLC (UVox) the attorneys fees and other expenses that may be incurred by AMB Forward LLC (UVox), generated by the actions and collection actions of the amounts due and not paid.

7.7 REFUND POLICY

7.8 Billing claim
  Without prejudice to any contrary provision, the CLIENT may claim the total or partial amount included in a UVox invoice, for this purpose the CLIENT must notify UVox in writing of the price discussed providing the necessary documentation to resolve said claim within thirty days (30) after the expiration date of the corresponding invoice, after this period the invoiced items will have the character of firm, in the absence of manifest error. The CLIENT and UVox will use all reasonable efforts and in good faith to resolve the aforementioned claims. UVox will refund to the CUSTOMER those amounts unduly or erroneously invoiced to the CLIENT.
  
  7.9 Check invoices and calls

  The CUSTOMER can consult and download his invoice history in the last 5 years from the section "Invoices ” of “My Account ” The CUSTOMER may consult and download his / her call history for the last 6 months from the "Call Report" section. of "My Account".
  UVox reserves the right not to save the customers billing information regarding previous periods.
  
  7.10 Calls

7.11 DDI or DID
  The price of the DDIs will be presented to the CLIENT, at the time of subscribing their use,

  7.12 Teams

The prices of IP telephone equipment, central and in general all types of products available for purchase through AMB Forward LLC (UVox) will be published on the website.
  
  7.13 vPBX- Virtual Switchboard

  7.14 Telephone numbering or DiD

7.17 Free service promotions.

  7.18 SMS Marketing

8. SERVICE QUALITY (SLA)

  • Guarantee service availability: 99%.

  • Time to resolve requests and commercial inquiries: No more than 24

The following cases will not be considered unavailable and will not compute for the calculation of the availability and time of resolution of incidents:
  • Service stops scheduled for maintenance.
  • Falls in accesses that do not cause loss of connectivity thanks to redundancy and / or backup devices.
  • Availability times due to the impossibility of restoring the service for reasons attributable to the CLIENT (for example, management of incidents with third parties involved in the service, among other things)
  • Deficiencies in the power supply of the routers or terminals located in the CLIENTS facilities. Deficiencies or incorrect configuration of the equipment used by the CLIENT in its connection with our servers.
• Service stops requested by the CLIENT.
• Interruption of the INTERNET service or GSM operators operating in the region where the CLIENT needs to use their service.
• 4 hours margin stipulated for the updating of networks by operators during the process of number portability. AMB Forward LLC (UVox) undertakes to notify via e-mail of scheduled stops that exceed 30 minutes in advance with 36 hours.
  The way of communication with the support department for incidents related to the service in general must always be done through the ticket system enabled in the user panel "My Account". in the section called Support.
  
   8.1 Support - Tickets
  AMB Forward LLC (UVox) offers free support through the ticket system and includes 3 categories:
  • Attention to commercial and technical consultations about its services.
  • Communication and resolution of service incidents.
  • Management of requests for change over the service.
  This support does not include:
• Configuration or support of third-party equipment not purchased from AMB Forward LLC (UVox).
• Intervention on the users own equipment (exchanges, routers or any other network component). The tickets will be attended according to the priority assigned by the support department and the stipulated maximum period. See section 8. SLA.
  To work on a reported incidence, AMB Forward LLC (UVox) will make a diagnosis.
  In case this diagnosis reveals that the incident is our competence, we indicate that the resolution of the same will be included in the SLA of our service.
  Otherwise, the time used by the personnel of AMB Forward LLC (UVox) in the tasks of diagnosis and intervention caused by a failure in the CLIENTS equipment, configuration or deficiency thereof, may generate a cost and be passed on to the CLIENT. For the virtual switchboard service (vPBX), AMB Forward LLC (UVox) makes available to the CLIENT, the purchase of the configuration of this service and that will allow AMB Forward LLC (UVox) to take charge of the complete configuration and support on it. .
  AMB Forward LLC (UVox) offers help manuals for the configuration of different equipment and applications, as a tool to help the CLIENT.
  
8.2 Penalties for breach of objectives in serious and critical incidents

  An average of the availability of the service provided to the Customer will be calculated monthly.

   9. RESPONSIBILITY
  AMB Forward LLC (UVox) does not offer support nor can guarantee the correct operation of the service on external equipment and / or plants. Likewise, it is the CLIENTS responsibility to have a quality Internet connection and router so that the service of AMB Forward LLC (UVox) can meet their expectations of satisfaction.
It is out of the control of AMB Forward LLC (UVox) the transmission of the voice between the CLIENT and its systems, that when going through the public network they do not offer guarantee of any service.

Penalty
The CLIENT assumes under his / her own responsibility the consequences, damages or actions that may arise from the configuration, manipulation or incorrect use of the contracted service.
  
  9.1 Force Majeure.

AMB Forward LLC (UVox) will not be responsible for any delay or failure in the total or partial implementation of the service, interruptions or malfunctioning of the service, caused by any failure in the network caused by natural disasters, such as earthquakes, floods, lightning or fires, acts of terrorism or any other situation of force majeure, fortuitous event, and by situations of extreme urgency, such as labor conflicts or serious closures, wars, military operations, civil disturbances or any other situation of a similar nature, this would leave without effect any penalty clause allegedly imputable to AMB Forward LLC (UVox).

10. SERVICE LEVEL REPORTS.
  Reports of service levels will be provided monthly, by e-mail to the email designated by the CLIENT for notifications through "My Account". They can also be consulted through the users private panel "My Account". They will include the performance of each of the services in relation to the agreed objectives.
  
  11. MODIFICATIONS.

  AMB Forward LLC (UVox) reserves the right to modify, in any way, these General Conditions of Use, conditions of the platform, applications or procedures with which it provides its service. To do so, it must not fulfill any formality other than informing the CLIENT with an online notice.

This type of modifications will not imply an alteration of the Service Level Agreements agreed with the CLIENTS.
  The CLIENT will be notified through his user panel “My Account ” being able to accept or not the modified conditions. If the CLIENT does not wish to accept the new clauses or modifications, he / she has the right to cancel Your Account by letter or email, which will take effect as of the date on which the new General Conditions of Use come into force and without penalty for the CLIENT.
  AMB Forward LLC (UVox) may modify the rates at any time, without prior notice. To obtain the current rate visit the Website of AMB Forward LLC (UVox).
AMB Forward LLC (UVox) may modify the charges for the purchase of Products at any time, without prior notice. The CLIENT may choose to accept or reject the new charges before completing the purchase of said Product. The new charge will be applied to your next purchase once the adjustments have been posted on the AMB Forward LLC Website (UVox). The CLIENT agrees that if he continues to use the Products after adjusting the rates, he accepts the new charges.

12. ACCOUNT BALANCE
   12.1 Credit balance
In order to obtain credit from AMB Forward LLC (UVox), the CLIENT must make a deposit in his Account by means of the payment methods enabled in point 7.3 of this document. The accounts new credits paid by credit card or other means of payment accepted by AMB Forward LLC (UVox), are activated immediately upon receipt and verification of the validity of the subscription information. For this activation, in the case of payment by credit card, the CUSTOMER must give the Bank that supports the payment gateway, a valid credit card number

(Visa, MasterCard, American Express or any issuer accepted by AMB Forward LLC (UVox) at that time).
  
  12.2 Restrictions.

  AMB Forward LLC (UVox) does not guarantee that the CUSTOMER can use his Credit balance of AMB Forward LLC (UVox) to buy all the Products. It is possible that certain Products must be paid separately. The credit balance is intended only for making calls or sending SMS and services related to VOIP and personal assistants viruales.
The lack of credit balance makes it impossible for the CLIENT to make calls and send SMS. The simultaneous channels condition the number of concurrent calls that can be made from the CLIENTS Account, stipulating a maximum of 20 channels.

12.3 Expiration of Credit.
The credit balance corresponding to the Credit of AMB Forward LLC (UVox) of "MY ACCOUNT" of User will expire 365 days (one year) after its payment, that wants that the account will eliminate all balance or credit in favor of the CLIENT that takes that time without being used since the realization of the payment.

13 VARIOUS PROVISIONS.

13.1 Partial Disability
  If any of the clauses or provisions of this is considered invalid, void or unenforceable, either in its entirety or in a specific situation, the rest of the Terms of Service will retain its full validity and effect.

13.2 Absence of waiver of rights.

AMB Forward LLC (UVox) does not guarantee that it will take action against all violations of these Terms of Service. The fact that AMB Forward LLC (UVox) does not require compliance with any provision of this Agreement at any time does not affect in any way its right to demand it at another time, unless there is an explicit waiver in this respect in writing and signed by AMB Forward LLC (UVox)

13.3 Prohibition of Assignment by the User
  The CLIENT is prohibited from assigning this contract and any other right acquired by the present.
  
  13.4 Assignment by AMB Forward LLC (UVox)

  AMB Forward LLC (UVox) may, in its sole discretion, assign this contract or any of the rights acquired hereby to any of its affiliated companies, without the need for prior notification.
  
  13.5 Current Laws

  The Contract shall be governed by and construed in accordance with the laws of the State of Florida in the United States of America and shall not give rise to legal disputes that may arise between the laws and dispositions of the State of Florida and those of Your state or current country of residence. .

13.6 Competent Court
Any legal proceedings arising out of or relating to this Contract will be subject to the jurisdiction of the Palm Beach Court of the State of Florida.

13.7 Language
It is possible that the original Spanish version of this Agreement has been translated into other languages. In case of contradictions or discrepancies between the Spanish version and that of any other language of this Contract, the Spanish version shall apply.

14 LOW AND CANCELLATION OF SERVICES

14.1 Customers in prepaid.
The CLIENT under this payment method has purchased the services in advance , being able to stop using them at any time. The non-renewal of services, would imply the deactivation of the same. The access to the user panel would be operative unless the client wishes its restriction, communicating it in writing to the personnel of AMB Forward LLC creating a Ticket as "Request". The reimbursement of the services will be treated according to article 7.7

14.2. Customers in prepaid direct debit, credit card and postpaid.
The CLIENT must communicate in writing to the staff of AMB Forward LLC the cancellation of the unwanted service or services.
• Individual Services: Through Ticket "Petition". • Complete cancellation as CUSTOMER: Via Ticket "Petition" - "Postpaid Cancellation", providing the document "Final Payment Agreement", downloadable from the Ticket itself.
